As a Legal Associate, you will be integral to our fast-paced operations, focusing on the review and markup of commercial agreements. Your daily tasks will involve efficiently processing customer agreements, enterprise MSAs, vendor contracts, and NDAs, ensuring swift deal progression. You will collaborate closely with business, product, and legal teams, gaining invaluable insight into technology contracts within a rapidly expanding AI company. Key responsibilities include:
- Comprehensive review and redlining of commercial contracts, encompassing customer agreements, MSAs, vendor/SaaS agreements, consultant contracts, and NDAs. - Managing a high volume of contracts daily while maintaining rapid turnaround times and effectively identifying critical risks. - Assessing clauses related to liability, indemnity, IP ownership, confidentiality, data protection, and termination against established company positions. - Guiding contracts from initial review through counterparty negotiations to final signature, including status tracking. - Reviewing data processing and privacy terms with a focus on India's DPDP Act and GDPR compliance. - Providing clear and prompt legal guidance to business, sales, and procurement teams. - Maintaining and suggesting improvements for contract templates, clause libraries, and playbooks. - Ensuring accuracy of contract trackers and records for both India and US entities. - Proactively identifying recurring contractual issues to facilitate updates in standard terms.
We are looking for an individual with 1-3 years of experience in reviewing and negotiating commercial contracts, ideally within the technology, consumer, or SaaS sectors, or from a reputable law firm. A LLB degree from a recognized law school is required, with Bar Council enrollment being an advantage. Hands-on experience with NDAs, MSAs, vendor and SaaS agreements, and customer contracts is essential. Familiarity with data privacy terms (DPDP Act, GDPR) and foundational concepts of IP and confidentiality is necessary. Comfort working efficiently in a startup or high-volume contract environment is a plus.
The ideal candidate possesses sharp attention to detail, the judgment to prioritize and address critical risks swiftly, and excellent written and verbal communication skills. You should be confident in politely challenging and explaining legal risks in accessible language. A genuine curiosity for AI and technology contracts, coupled with a proactive learning attitude and an ownership mindset—taking responsibility for contracts from start to finish and seeking help proactively—are highly valued.
