As a Legal Associate, you will play a vital role in reviewing and managing commercial contracts at Emergent. Your primary focus will be on efficiently reviewing, redlining, and finalizing agreements to ensure smooth business operations.

You will collaborate closely with business, product, and legal teams, gaining deep insights into technology contracts within a rapidly expanding AI company. Key responsibilities include:

- End-to-end review and redlining of commercial contracts (customer agreements, MSAs, vendor/SaaS agreements, consultant agreements, NDAs). - Managing a high volume of contracts daily, maintaining rapid turnaround times while identifying critical risks. - Assessing clauses related to liability, indemnity, IP ownership, confidentiality, data protection, and termination against standard positions. - Guiding contracts from initial review through counterparty negotiations to final signature, and tracking their status. - Examining data processing and privacy clauses with attention to India's DPDP Act and GDPR. - Providing swift and clear answers to contract-related queries from business, sales, and procurement teams. - Maintaining contract templates, clause libraries, and playbooks, suggesting improvements for recurring issues. - Ensuring accuracy of contract trackers and records for both India and US entities. - Identifying and flagging recurring contractual issues to facilitate updates to standard terms.

We are looking for a proactive Legal Associate with practical experience in contract review and negotiation. Ideally, you have worked within the technology, consumer, or SaaS sectors, or have a strong foundation from a reputable law firm.

Ideal candidates will possess:

- 1 to 3 years of experience in reviewing and negotiating commercial contracts. - An LLB degree from a reputable law school, with Bar Council enrollment being an advantage. - Hands-on experience with redlining NDAs, MSAs, vendor/SaaS agreements, and customer contracts. - A working understanding of data privacy terms (DPDP Act, GDPR) and fundamental concepts of IP and confidentiality. - Comfort and capability to work at speed in a startup or high-volume contract environment. - Exceptional attention to detail, coupled with the judgment to prioritize risks and efficiently handle routine matters. - Clear written and verbal communication skills, with the confidence to articulate legal risks concisely. - A genuine curiosity for AI and technology contracts, and a commitment to rapid learning. - A strong ownership mindset, ensuring contracts are seen through to completion and seeking help proactively when needed.
