EY's Forensic & Integrity Services team is seeking a Consultant to join our Investigations & Compliance practice in Mumbai. We help organizations safeguard their reputation by investigating facts, resolving disputes, and managing regulatory challenges. As a Consultant, you will support deal teams with a strong understanding of private equity concepts and investment structures. You'll be proficient in drafting, reviewing, and negotiating a variety of commercial agreements, ensuring a balance between legal risk and business objectives. Key responsibilities include advising on contractual provisions, handling SaaS and technology agreements, and managing the contract lifecycle.

You will also be skilled at identifying and mitigating legal and commercial risks, working collaboratively with internal teams and external counsel. Experience in legal due diligence and documentation review for strategic initiatives is essential. A keen interest in emerging technologies and their legal implications is highly valued.

To excel in this role, you should possess a strong understanding of private equity concepts, investment structures, and transaction execution. Confidence in drafting, reviewing, and negotiating commercial agreements is crucial, with a solid grasp of key contractual clauses like indemnities, IP rights, and data protection.

Experience with SaaS and technology agreements, including subscription models and service commitments, is required. You should demonstrate proven experience in negotiating various business-critical contracts such as NDAs, MSAs, and SOWs. The ability to identify risks, propose pragmatic solutions, and manage multiple priorities in a fast-paced environment is essential. A BA LLB qualification is necessary for this position.
